Transfer of Treasury Shares
Total Voting Rights
CML, which develops mixed-signal, RF and microwave semiconductors for global communications markets, announces that on 7 April 2026, it transferred 51,312 ordinary shares of 5 pence each ("Ordinary Shares") out of treasury.
On 2 October 2023, the Company announced that it had completed the acquisition of Microwave Technology, Inc. ("MwT") and that, as part of the consideration it would be issuing Consideration Shares to the vendors of MwT. The final tranche of those Consideration Shares was due to be issued on the third anniversary of the acquisition of MwT, but the Company has agreed with one of the vendors to issue that vendor's shares today. The remaining 39,467 Consideration Shares will be issued on 2 October 2026.
The 51,312 shares transferred out of treasury today are part of those Consideration Shares.

Total Voting Rights
In conformity with the Financial Conduct Authority's Disclosure and Transparency rules, CML Microsystems Plc hereby notifies the market that the Company's issued share capital comprises 17,603,888 Ordinary Shares. The Company holds 404,884 Ordinary Shares in treasury. Therefore, the total number of voting rights in the Company is 16,659,004 Ordinary Shares.
The above figure of 16,659,004 Ordinary Shares in the Company carrying voting rights may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure and Transparency Rules.
